Under minimal supervision, the Contract Administrator / Corporate Paralegal is responsible for providing pro-active legal support to the firm to include contract review, negotiation and maintenance to ensure that transactions are compliant with company policies and procedures, and state and federal regulations. Working with outside counsel as needed, provide advice and insight on a wide range of issues including complex claims management and dispute resolution to those within the firm.


Essential Duties & Responsibilities:

:: Serve as project manager and point of contact for internal and external customers on contractual matters.

:: Draft, review, and administer contractual agreements including, but not limited to, facilities equipment and other vendor agreements, non-disclosure agreements, fee for service agreements, and any others as required/requested by management.

:: Prepare contract summaries highlighting and interpreting contractual rights and obligations to ensure that due diligence is practiced in complying with the stated terms and conditions, and make recommendations based on findings.

:: Responsible for ongoing maintenance of current contracts to include updating demographics, and negotiating contract fee schedules, terms, service changes, and renewals.

:: Develop and implement procedures for contract management and administration which adhere to regulatory requirements and company policy.

:: Contribute to and influence company policies and functional procedures.

:: Identify, develop and recommend best practices to business units from a legal perspective.

:: Working with internal associates responsible for quality control, make recommendations to improve internal audit functions and processes.

:: Serve as point of contact for legal matters, regularly consulting with outside and internal counsel.

:: Maintain a log of ongoing E&O issues, summarizing the scope and current status.

:: Managing discovery requests, request from client counsel and management of Barney & Barney outside counsel privilege management.

:: Prepare and distribute reports as requested to facilitate planning and maintenance of accurate contract records and files.

Education, training, experience:
EDUCATION AND/OR EXPERIENCE:

Successful candidate will be a service oriented individual with high personal standards and a hands-on work style. This position requires an individual who is comfortable working at a fast pace, managing multiple tasks and deadlines simultaneously, adjusting priorities often, and managing frequent interruptions.

This position interacts with and provides service to a large group of internal associates and has high levels of contact with clients and external business partners. The Contracts Administrator/Corporate Paralegal must be positive and approachable, and work effectively with diverse personalities.


In addition, the following is required unless otherwise noted:

:: Successful work history to include a minimum of 5 years contract management and paralegal experience. Experience working within the insurance brokerage industry strongly preferred.

:: Bachelor Degree and Paralegal Certification.

:: Proficient in contract development, contract standards and language.

:: Knowledge of insurance terminology preferred, and an interest in learning complex insurance coverage issues related to Property & Casualty and Employee Benefits coverage.

:: Must be a proactive problem solver.

:: Proficiency with personal computers and comprehensive knowledge of MS Word and Excel applications with the ability to operate standard office equipment is required.

:: Skill in organizing resources and establishing priorities.

:: Demonstrated ability to resolve problems and present results neatly, with clarity and precision in oral and written form.

:: Demonstrated ability to develop, plan, and implement short- and long-range goals.

:: Maintain a valid driver’s license and have reliable transportation.


WORK ENVIRONMENT & PHYSICAL DEMANDS:

:: Ability to use computer keyboard and sit in a stationary position for extended periods.

:: Work is performed in a typical interior/office work environment.

:: 10% - 20% travel to clients within the San Diego County may be required. Travel may also consist of 1 – 2 overnight trips per year covering areas both in and out of the state.

:: Extended work hours (10 – 12 hrs/day) required on occasion.
